SUBSCRIPTION TERMS

These Subscription Terms ("Subscription Terms") govern your purchase, use, and cancellation of recurring subscription services offered by Regenics Corp ("Regenics," "we," "us," or "our") and the affiliated medical practice, Regenics Medical Corp (the "Medical Group"). These Subscription Terms supplement and are part of the Regenics Terms & Conditions and Patient Agreement.

By enrolling in a Regenics subscription, you agree to these Subscription Terms.

1. Subscription Services

Regenics offers two types of recurring subscriptions:

Regenics Membership

A subscription that provides access to provider support, the Regenics patient portal, ongoing care management, and the ability to purchase medications and supportive care products through Regenics. The Regenics Membership is offered in monthly, 3-month, 6-month, and 12-month terms, and is a non-medical service provided by Regenics Corp.

Medication Subscriptions

Recurring medication subscriptions for prescription products, including GLP-1 weight management protocols (Tirzepatide, Semaglutide) and supportive care products. Medication subscriptions are subject to provider approval and ongoing clinical eligibility, and prescriptions are issued by clinicians employed by or affiliated with the Medical Group.

You may have one or more active subscriptions at any time. Each subscription has its own price, billing cycle, and shipment schedule.

2. Pricing and Billing

Subscription Fees

The current price of each subscription is disclosed at the time of enrollment and shown on your account. Subscription fees are charged in advance for each billing period.

  • Regenics Membership: Offered in four terms, each charged as a single payment in advance at the start of the term:
    • Monthly: $79 per month ($39 for the first month for new members), charged every month
    • 3 months: $209, charged once every 3 months
    • 6 months: $379, charged once every 6 months
    • 12 months: $699, charged once every 12 months
    The term you select and its price are shown at checkout and on your account, and are subject to change as described under "Price Changes" below.
  • Medication Subscriptions: Pricing varies by medication, dosage, and protocol. Pricing is disclosed at checkout for each medication you purchase. Medication subscriptions are billed in advance of each shipment.

Payment Method

You authorize Regenics to charge the payment method on file for all applicable subscription fees, taxes, and any other charges incurred in connection with your subscriptions. You are responsible for keeping your payment information current.

Failed Payments

If a payment fails, we will retry the charge up to 3 times over 7 days. If we cannot successfully process payment, your subscription may be suspended or canceled, and you may lose access to subscription benefits, including provider support and medication shipments.

Price Changes

We may change subscription prices from time to time. If we increase the price of a subscription you are already enrolled in, we will notify you by email at least 14 days before the new price takes effect. The new price will apply to your next billing cycle after the notice period. If you do not agree to the new price, you may cancel your subscription before the new price takes effect.

3. Automatic Renewal

Your Regenics subscription is a recurring subscription that automatically renews. You will be charged the then-current subscription fee at the beginning of each billing period until you cancel.

Your Regenics Membership and any active medication subscription will automatically renew at the end of each billing period at the then-current price unless you cancel before the next billing date. By enrolling, you authorize Regenics to charge your payment method on a recurring basis until you cancel.

The renewal frequency for each subscription is:

  • Regenics Membership: At the end of each term you select. A monthly membership renews every month; a 3-month, 6-month, or 12-month membership renews at the end of each 3-, 6-, or 12-month term for another term of the same length, at the then-current price, unless you cancel before the renewal date.
  • Medication Subscriptions: Monthly, or as otherwise disclosed at the time of purchase based on the medication's supply (typically a 28-day supply per shipment)

You will receive an email reminder before each medication shipment so you have the opportunity to delay, change, or cancel before the next charge.

4. Medication Subscriptions and Provider Approval

Medication subscriptions are subject to ongoing clinical eligibility and provider approval. You acknowledge and agree that:

  • Prescriptions are not guaranteed and are issued only if a provider determines treatment is clinically appropriate
  • If a provider determines that medication is no longer appropriate for you, your medication subscription will be paused or canceled
  • You will not be charged for medication if a provider declines to prescribe
  • Periodic provider re-evaluation is required to continue receiving medication. The frequency of re-evaluation is determined by the provider based on clinical guidelines 28 days to annually depending on the medication.
  • Prescriptions expire after 28 days to annually depending on the medication. You must complete a renewal visit before the expiration to continue receiving medication

5. Cancellation

How to Cancel

You may cancel any subscription at any time. To cancel, you may:

  • Log into your Regenics account and select "Cancel Subscription" from your account settings

We comply with the FTC Click-to-Cancel Rule and applicable state automatic renewal laws. Cancellation must be at least as easy as enrollment.

Cancellation Cutoff

To avoid being charged for the next billing period, you must cancel at least 24 hours before your next renewal date and before any check-in is initiated. If you cancel after the renewal has been processed, the cancellation will take effect at the end of the current billing period.

Effect of Cancellation

When you cancel:

  • You will not be charged for any subsequent billing periods
  • You will continue to receive subscription benefits through the end of the billing period for which you have already paid
  • Any medication shipment that has not yet been processed will be canceled
  • Medication shipments that have already been processed or shipped cannot be canceled or returned (see Refunds, below)
  • If you cancel your Regenics Membership, all active medication subscriptions will also be canceled, and you will lose access to provider support and the patient portal at the end of your current billing period

Cancellation by Regenics

We may cancel or suspend your subscription at any time for any reason, including:

  • Non-payment or repeated payment failures
  • Violation of our Terms & Conditions or Patient Agreement
  • A determination by your provider that continued treatment is not clinically appropriate
  • Discontinuation of the Service or product

6. Refunds

Membership Fees

Regenics Membership fees are non-refundable except where required by law.

Medications

All sales of prescription medication are final. Medications cannot be returned, exchanged, or refunded once shipped, except:

  • If we made an error in filling your prescription
  • As required by applicable law

To request a refund for an error, contact support@regenics.com within 24 hours of receiving the order.

Provider Decline

If a provider declines to prescribe medication after you have paid for a medication subscription, you will receive a full refund of the medication subscription fee. The Regenics Membership fee is non-refundable.

State-Specific Rights

If you are a resident of a state with stricter consumer protection laws (such as California, where you have the right to cancel a subscription via the same medium used to enroll), you may have additional rights. Nothing in these Subscription Terms limits any rights you have under applicable state law.
